1. Acceptance of Terms

By engaging our services, accessing our website, or accepting any proposal, quotation, or invoice issued by WonderSoft Solutions, you agree to be bound by these Terms & Conditions. If you do not agree, you should not proceed with our services.


2. Services

WonderSoft Solutions provides services including but not limited to:

  • Website design and development
  • Web application development
  • WordPress development and maintenance
  • Software solutions and integrations
  • Technical support and consulting

The exact scope of work will be defined in the proposal, quotation, invoice, or written agreement shared with the client.


3. Payment Terms

  • All invoices must be paid within the due date mentioned on the invoice.
  • Payments must be made via approved payment methods only.
  • Failure to make payment on time may result in suspension of services without prior notice, including but not limited to development, maintenance, hosting management, and technical support.
  • Delayed payments may attract late fees or interest as specified in the invoice (if applicable).

4. Technical Support & Maintenance

  • Free or included technical support (if applicable) is valid only for the duration mentioned in the invoice or agreement.
  • Technical support covers bug fixes and issues directly related to delivered work only.
  • Support does not include new feature development, third-party service issues, or client-side modifications unless separately agreed.
  • Support will be automatically suspended for unpaid invoices or overdue accounts.

5. Suspension of Services

We reserve the right to suspend or restrict services under the following conditions:

  • Non-payment or overdue invoices
  • Violation of agreed terms or misuse of services
  • Lack of communication for an extended period during active projects
  • Legal or compliance concerns

During suspension:

  • Access to services, updates, or support may be paused
  • No responsibility will be held by WonderSoft Solutions for service downtime or business impact

Services will be restored once all outstanding dues are cleared.


6. Client Responsibilities

Clients agree to:

  • Provide accurate and complete project requirements
  • Supply required content, credentials, and approvals on time
  • Ensure timely communication during active projects
  • Take responsibility for final approvals before deployment

Delays caused by the client may impact delivery timelines.


7. Ownership & Intellectual Property

  • Upon full payment, ownership of the final delivered project will be transferred to the client unless otherwise stated.
  • WonderSoft Solutions reserves the right to showcase completed work in portfolios, case studies, or marketing materials unless explicitly restricted in writing.

8. Third-Party Services

We may integrate or rely on third-party services (hosting, APIs, plugins, payment gateways). We are not responsible for:

  • Downtime or failure of third-party services
  • Policy changes or pricing changes by third parties
  • Security or performance issues caused by external services

9. Limitation of Liability

WonderSoft Solutions shall not be liable for:

  • Loss of revenue, business, or data
  • Website downtime due to hosting or third-party issues
  • Any indirect, incidental, or consequential damages

Our total liability shall not exceed the amount paid for the specific service.


10. Termination

Either party may terminate the service agreement with written notice.
In case of termination:

  • All outstanding payments must be cleared
  • Work completed up to termination will be billed accordingly
  • No refunds will be issued for work already delivered or in progress

11. Changes to Terms

We reserve the right to update or modify these Terms & Conditions at any time without prior notice. Updated terms will be effective immediately upon publication.


12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall be subject to the jurisdiction of Ambala.
